Terms of Service

Welcome to AgentAI Connect ("AgentAI Connect," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the AgentAI Connectwebsite, software platform, applications, content, tools, and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

1. ELIGIBILITY

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.

If you are using the Services on behalf of a brokerage, team, company, or other entity, you represent that you have authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICES

AgentAI Connect provides artificial intelligence-powered marketing tools designed to assist real estate professionals with creating marketing content, including but not limited to:

Social media posts
Listing descriptions
Marketing captions
Email content
Property marketing materials
Content templates
Scheduling and publishing tools
Team collaboration tools

AgentAI Connect does not provide legal advice, brokerage services, MLS services, compliance review, financial advice, or professional real estate advice.

3. ACCOUNT REGISTRATION

To access certain features, users must create an account.

You agree to:

Provide accurate information
Maintain current account information
Keep login credentials secure
Notify us of unauthorized access

You are responsible for all activity occurring under your account.

4. SUBSCRIPTIONS, BILLING, CANCELLATIONS & REFUNDS

AgentAI Connect operates on a subscription basis. Current pricing, subscription plans, billing terms, automatic renewal, cancellation procedures, and refund eligibility are governed by our Subscription, Billing & Cancellation Policy, which is incorporated into these Terms by reference.

By subscribing to the Services, you authorize AgentAI Connect and its payment processors to charge all applicable fees to the payment method on file, and you agree to the Subscription, Billing & Cancellation Policy in addition to these Terms.

Failure to maintain valid payment information may result in suspension or termination of Services.

5. AI GENERATED CONTENT

AgentAI Connect utilizes artificial intelligence technologies to generate content.

Users acknowledge and agree that:

AI-generated content may contain errors.
AI-generated content may be inaccurate, incomplete, outdated, or inappropriate.
Users are solely responsible for reviewing all generated content before publishing, distributing, or relying upon it.
AgentAI Connect does not guarantee the accuracy, legality, compliance, or effectiveness of generated content.
Users assume all risks associated with use of AI-generated content.
AI-generated content may incorporate patterns, phrasing, images, or other elements similar to third-party copyrighted, trademarked, or otherwise protected material, and AgentAI Connect does not warrant that AI-generated content is free of third-party intellectual property claims.
AgentAI Connect bears no liability for any claim that AI-generated content, once reviewed, published, or distributed by a user, infringes, misappropriates, or violates the rights of any third party.

Additional terms governing AI-generated content, including content ownership and the use of third-party AI providers, are set out in our AI Disclaimer, which is incorporated into these Terms by reference.

6. REAL ESTATE COMPLIANCE RESPONSIBILITY

Real estate laws, regulations, MLS rules, brokerage policies, advertising requirements, and licensing requirements vary by state, market, brokerage, and association.

Users are solely responsible for ensuring that all content created, edited, published, or distributed using AgentAI Connect complies with:

Federal laws
State laws
Local regulations
MLS requirements
Fair Housing laws
NAR guidelines
Brokerage policies
Licensing requirements

AgentAI Connect does not warrant or guarantee compliance. Additional detail on real estate compliance responsibility is set out in our Real Estate Compliance Disclaimer, which is incorporated into these Terms by reference.

7. USER CONTENT

Users retain ownership of content they submit to the Services.

By submitting content, users grant AgentAI Connect a limited license to process, store, display, modify, and use such content solely for operating and improving the Services.

Users represent and warrant that they own or have obtained all rights, licenses, consents, and permissions necessary to submit the content and to authorize AgentAI Connect's use of it as described in these Terms, and that the content does not and will not infringe, misappropriate, or violate any third party's intellectual property, publicity, privacy, or other rights.

AgentAI Connecthas no obligation to monitor, verify, or pre-screen user content or a user's use of AI-generated content for third-party rights issues. AgentAI Connectdisclaims all liability, and bears no responsibility, for any infringement, misappropriation, or violation of a third party's rights arising from user content or a user's use, publication, or distribution of AI-generated content.

8. PROHIBITED USES

Users may not:

Violate any law or regulation
Upload unlawful, defamatory, fraudulent, or misleading content
Infringe intellectual property rights
Attempt unauthorized access to systems
Interfere with platform operations
Reverse engineer the Services
Use the Services to generate spam
Use the Services for illegal marketing activities
Use the Services to build or assist in building a competing product or service
Use bots, scrapers, or other automated means to access the Services except as expressly authorized by AgentAI Connect
Circumvent any usage limits, security measures, or access controls of the Services

AgentAI Connect reserves the right to suspend or terminate accounts engaged in prohibited conduct.

9. INTELLECTUAL PROPERTY

AgentAI Connect owns all rights, title, and interest in the Services, including:

Software
Features
Designs
Trademarks
Logos
Branding
Documentation

No ownership rights are transferred to users. Additional terms regarding intellectual property, trademarks, and copyright claims are set out in our Copyright & Intellectual Property Policy, which is incorporated into these Terms by reference.

10. THIRD-PARTY SERVICES

The Services may integrate with third-party platforms including social media networks, payment processors, and other technology providers.

AgentAI Connect is not responsible for:

Third-party services
Third-party outages
Third-party policies
Third-party content

Use of third-party services is governed by their own terms.

11. SERVICE AVAILABILITY

We strive to provide reliable Services but do not guarantee uninterrupted availability.

Modify Services
Suspend Services
Update features
Remove features
Perform maintenance

without prior notice.

12. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTAICONNECT DISCLAIMS ALL WARRANTIES, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
AVAILABILITY

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTAICONNECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

AGENTAICONNECT'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO AGENTAICONNECT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE LIMITATIONS IN THIS SECTION 13 DO NOT APPLY TO: (A) EITHER PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 14; (C) A PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS; OR (D) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so some of the limitations above may not apply to you.

14. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless AgentAI Connect, its owners, employees, contractors, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

User content
A user's use, publication, or distribution of AI-generated content
Any claim that user content, or a user's use of AI-generated content, infringes, misappropriates, or violates the intellectual property, publicity, privacy, or other rights of any third party
User conduct
Violation of these Terms
Violation of applicable laws or regulations

15. TERMINATION

AgentAI Connect may suspend or terminate accounts at any time for:

Violation of these Terms
Fraudulent activity
Security concerns
Non-payment

Upon termination, access to the Services may be revoked immediately.

The following provisions will survive termination of these Terms: Section 7 (as to content already submitted), Section 9 (Intellectual Property), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 16 (Governing Law), Section 17 (Dispute Resolution), and any other provision that by its nature is intended to survive termination.

16. GOVERNING LAW

These Terms, and any Dispute (as defined in Section 17) arising from or relating to these Terms or the Services, are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.

17. DISPUTE RESOLUTION

17.1 Agreement to Arbitrate

Except as provided in Section 17.5 (Exceptions to Arbitration), you and AgentAI Connect agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and AgentAI Connect(a "Dispute") will be resolved exclusively through final and binding individual arbitration, rather than in court.

17.2 Arbitration Administrator and Rules

The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, before a single neutral arbitrator. Unless the parties agree otherwise, the arbitration will be conducted remotely or, if an in-person hearing is required, in Campbell County, Wyoming. The arbitrator's decision will be final and binding, subject only to the limited review available under the Federal Arbitration Act.

17.3 Class Action and Jury Trial Waiver

YOU AND AGENTAICONNECTEACH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding. YOU AND AGENTAICONNECT EACH FURTHER WAIVE ANY RIGHT TO A JURY TRIAL.

If a court or arbitrator determines that this class action waiver is unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) may proceed in court under Section 17.6, but the remainder of this Section 17, including its application to all other Disputes, will remain in full force and effect.

17.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to AgentAI Connect, using the contact information in Section 20 (Contact Information), within thirty (30) days of the date you first agree to these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor AgentAI Connect will be required to arbitrate Disputes with each other, and Section 17.6 will govern instead.

17.5 Exceptions to Arbitration

Notwithstanding Section 17.1, either party may bring an individual action in small claims court where the claim qualifies, and AgentAI Connect may seek injunctive or other equitable relief in the courts identified in Section 17.6 to protect its intellectual property, confidential information, or the security or integrity of the Services, without first pursuing arbitration.

17.6 Venue for Excluded Disputes

For any Dispute described in Section 17.5, or any Dispute proceeding in court because a party properly opted out under Section 17.4 or because a court found the class action waiver unenforceable as to that Dispute. The parties agree that the Wyoming Chancery Court will be the venue for that Dispute.

17.7 Severability

If any provision of this Section 17, other than the class action waiver in Section 17.3, is found invalid or unenforceable, that provision will be severed and the remaining provisions of this Section 17 will remain in full force and effect.

18. CHANGES TO TERMS

AgentAI Connect may update these Terms from time to time. For material changes, AgentAI Connect will provide reasonable notice, such as by email or a notice within the Services, before the changes take effect.

Continued use of the Services after a change becomes effective constitutes acceptance of the revised Terms. No change to Section 17 (Dispute Resolution) will apply to a Dispute of which AgentAI Connect had actual notice before the change was made, unless you affirmatively agree to the change.

19. MISCELLANEOUS

19.1 Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms (other than a user's payment obligations) resulting from causes beyond that party's reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or third-party service outages.

19.2 Assignment

You may not assign or transfer these Terms, in whole or in part, without AgentAI Connect's prior written consent. AgentAI Connect may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

19.3 Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.4 Waiver

No waiver of any provision of these Terms will be effective unless in writing. AgentAI Connect's failure to enforce any provision is not a waiver of its right to do so later.

19.5 Entire Agreement

These Terms, together with the policies referenced in them, constitute the entire agreement between you and AgentAI Connect regarding the Services and supersede any prior agreements or understandings.

19.6 Notices

AgentAI Connect may provide notices to you via the email address associated with your account or by posting on the Services. You may provide notices to AgentAI Connect using the contact information in Section 20.

19.7 Relationship of the Parties

AgentAI Connect and its users are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between AgentAI Connect and any user.
